Software Evaluation Agreement User should carefully read this Software Evaluation Agreement ("Agreement") before downloading, opening, loading or operating the on-line copy of the Store Payment Interface program and relating documentation ("Software"). "User" is defined as any individual or organization in possession of the Software (or an individual employed by the same). The Software can only be downloaded, installed, loaded and operated in accordance with the terms and conditions of this Agreement. Except as may otherwise be prohibited, opening, loading or operating the Software indicates User's acceptance of this Agreement, and User's agreement to utilize the Software in accordance with the following terms and conditions: 1. User acknowledges that the Store Payment Interface program and relating documentation ("Software") is a proprietary product of Emirates Telecommunications Corporation, (Etisalat). Any loading, use, or operation of the Software, other than as specified herein, is unauthorized and unlawful. 2. Etisalat grants to User a non-exclusive license, non-transferable right, royalty free during the term of this Agreement, to use the Software for (i) its internal evaluation of the Software, or (ii) for the sole purpose of evaluating the interoperability with Users Storefront and Comtrust Integrated Secured Payment Service. 3. User should not decompile, disassemble or otherwise reverse engineer the Software. User should not alter, amend, modify, or transfer the Software, or any copy, in whole or in part. User shouldnot circumvent any Software protection devices, or the terms of this Agreement. Any attempt to sublicense, assign or transfer this Agreement, or the Software, is void. The User shall provide a proper attribution of rights with any computer program, software, or documentation utilizing, incorporating or integrating the Software, or its technology. 4. The term of this Agreement, and the rights granted hereunder, shall be for a period of 45 days from the date of acceptance. 5. This Agreement shall terminate immediately upon (i) User's failure to comply with any term or condition of this Agreement, (ii) transfer of possession of the Software, or any copy thereof, (iii) circumvention of any Software protection device, or this Agreement, (iv) expiry of the (45) days trial period, or (v) deactivation or destruction of the Software. Upon termination of this Agreement, User agrees to destroy all copies of the Software and any relating documentation or data. 6. USER ACCEPTS THE PRODUCT "AS IS". ETISALAT MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE SOFTWARE, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT WILL ETISALAT BE LIABLE FOR ANY DAMAGES ARISING OUT OF, OR IN CONNECTION WITH, THE USE OF THE SOFTWARE, INCLUDING BUT NOT LIMITED TO ANY DIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR CORRUPTION OR LOSS OF DATA 7 User agrees to take the appropriate measures to protect the confidential and proprietary nature of the Software. User's protective measures shall be equal or greater than those measures used to protect User 's own proprietary data and/or software. 8 User agrees that the laws of the United Arab Emirates shall govern this Agreement and the UAE courts shall have exclusive jurisdiction to settle any claim or dispute arises therefrom. 9. User acknowledges having read this Agreement, understanding it and agreeing to be bound by its terms and conditions. User further agrees that it is the complete and exclusive understanding of the User that this Agreement supersedes any proposal or prior agreement, oral or written, or any other communications between User and Etisalat relating to the subject matter of this Agreement.
